Ltd, a company incorporated under the laws of Singapore, company registration No. 201333168R, having its registered office at 1 Finlayson Green, #06-03, Singapore 049246 (“DSL” or “Group A Shareholder”); (B) Thai Yuan Metal Public Company Limited, a company incorporated under the laws of Thailand, company registration No. 0107549000106, having its registered office at No. 7/4, 7/6 Moo 1, Ekkachai Road, Tambol Khae Lai, Amphoe Krathum Baen, Samut Sakhon 74110, Thailand (“TYM”); (C) Asia Metal Public Company Limited, a company incorporated under the laws of Thailand, company registration No. 0107547000176, having its registered office at No. 55, 55/1 Moo 2, Soi Watnamdang, Srinakarin Road, Tambol Bangkaew, Amphoe Bang Phil, Samut Prakarn 10540, Thailand (“AMC”); and (D) Permsin Steel Works Public Company Limited, a company incorporated under the laws of Thailand, company registration No. 0107548000196, having its registered office at No. 4, 95-96 Moo 6, Rama 2 Road, Tambol Khok-kam, Amphoe Muang Samut Sakhon, Samut Sakhon 74000, Thailand (“PERM”). (B) TYM, AMC and PERM are large steel manufacturing and trading companies in Thailand whom all have expertise and long experience in the Thai steel products market and industry. (C) DSL, TYM, AMC and PERM wish to cooperate to establish a hot strip steel manufacturing and processing plant in Thailand for the manufacture and sale of such products primarily in the Thai market.
