The Licensee shall be responsible towards the Licensor for the quality of all Licensed Products that shall be of high level and shall not disparage the Licensed Properties. Once a sample has been approved by the Licensor, the Licensee undertakes to maintain the same or higher quality in the licensed product produced as in the approved sample. Unless differently agreed upon by the parties, the Licensee agrees to destroy all “seconds” which BEAR the Licensed Properties.
