Dever de relatar a gestão e apresentar contas
1 - Os membros da administração devem elaborar e submeter aos órgãos competentes da sociedade o relatório de gestão, as contas do exercício e demais documentos de prestação de contas previstos na lei, relativos a cada exercício anual.
2 - A elaboração do relatório de gestão, das contas do exercício e dos demais documentos de prestação de contas deve obedecer ao disposto na lei; o contrato de sociedade pode complementar, mas não derrogar, essas disposições legais.
3 - O relatório de gestão e as contas do exercício devem ser assinados por todos os membros da administração; a recusa de assinatura por qualquer deles deve ser justificada no documento a que respeita e explicada pelo próprio perante o órgão competente para a aprovação, ainda que já tenha cessado as suas funções.
4 - O relatório de gestão e as contas do exercício são elaborados e assinados pelos gerentes ou administradores que estiverem em funções ao tempo da apresentação, mas os antigos membros da administração devem prestar todas as informações que para esse efeito lhes forem solicitadas, relativamente ao período em que exerceram aquelas funções.
5 - O relatório de gestão, as contas do exercício e demais documentos de prestação de contas devem ser apresentados ao órgão competente e por este apreciados, salvo casos particulares previstos na lei, no prazo de três meses a contar da data do encerramento de cada exercício anual, ou no prazo de cinco meses a contar da mesma data quando se trate de sociedades que devam apresentar contas consolidadas ou que apliquem o método da equivalência patrimonial.
Artigo 65.º-A
Adopção do período de exercício
O primeiro exercício económico das sociedades que adoptem um exercício anual diferente do correspondente ao ano civil não poderá ter uma duração inferior a 6 meses, nem superior a 18, sem prejuízo do previsto no artigo 7.º do Código do Imposto sobre o Rendimento das Pessoas Colectivas.

The duty to disclose the financial statements and management reports
1 - The members of the administration must prepare the financial statements, the management report and other disclosure documents described in the appropriate legislation relative to the fiscal year, and submit them to the decision making bodies of the organization.
2 - In drafting the management report, the financial statements and other disclosure documents administrators must abide by the provisions of the governing law. The corporate bylaws may complement, but not derogate from the law.
3 - The management report and the financial statements for the period must be signed by all members of the administration. Refusal to sign must be justified in the document itself and explained in person to the competent bodies, even if the officer no longer holds his or her position.
4 – The management report and the financial statements shall be drafted and signed by the managers or administrators in power at the time the documents are submitted. However, former members of the administration must disclose any information requested for this purpose, relative to the period in which they held the position or office.
5 - With the exception of specific cases described in law, the management report, the financial statements and other disclosure documents must be submitted to the relevant bodies for review no later than three months following the end of each fiscal period, or within five months for organizations that submit consolidated accounts or that use the equity method.
Article 65-A
Adopting a fiscal period
The first fiscal period for companies that use a fiscal period that is different from the calendar year may not be less than 6 months or longer than 18, irrespective of the provisions described in Article 7 of the Tax Code governing the Income of Companies.
