г. Южно - Сахалинск 08 сентября 2008 года
1. Стороны договора
Сторонами, заключившими настоящий договор аренды лесного участка (далее - Договор) являются:
Департамент лесов и особо охраняемых природных территорий Сахалинской области (далее «Департамент»), в лице первого заместителя начальника Департамента Пермякова Бориса Дмитриевича, действующего на основании приказа Департамента от 29 апреля 2008 года № 187 «О делегировании полномочий первому заместителю начальника Департамента», Положения о департаменте лесов и особо охраняемых природных территорий Сахалинской области, утвержденного постановлением администрации области от 22 апреля 2008 г. № 105-па, именуемый в дальнейшем Арендодатель, с одной стороны,
и (not included for client privacy) именуемый в дальнейшем Арендатор, с другой стороны, заключили настоящий Договор о нижеследующем:
2. Предмет договора
2.1. По настоящему Договору Арендодатель, действующий в соответствии со статьями 43, 74 Лесного кодекса Российской Федерации, п.12 Правил подготовки и заключения договора аренды лесного участка, находящегося в государственной или муниципальной собственности, утвержденных постановлением Правительства Российской Федерации от 28.05.2007г. № 324, п. 2 Порядка использования лесов для выполнения работ по геологическому изучению недр, для разработки месторождений полезных ископаемых, утвержденного приказом МПР России от 24.04.2007г. № 109, Договором от 15.05.2006 г. № ОХ-054, на основании заявления ЗАО «Элвари Нефтегаз» от 05.06.2008 г. № 67-03/220 и приказа Департамента от 01.09.2008 г. № 438, обязуется предоставить, а Арендатор обязуется принять во временное возмездное пользование (аренду) лесной участок, находящийся в федеральной собственности и определенный в пункте 2.2. настоящего Договора (далее - лесной участок).
2.2. Лесной участок площадью 3,6 га, предоставляемый в аренду по настоящему Договору, имеет:
Местоположение: Сахалинская область, Муниципальное образование городской округ «Охинский», Охинское лесничество ОГУ «Сахалинские лесничества», квартал 26 (выд. 25) Некрасовского участкового лесничества. Кадастровый номер (номер государственного учета в лесном реестре): 8ЛХ(15)-2008-09.
2.3. Схема расположения лесного участка и его характеристика приводятся в приложениях № 1 и 2 (границы лесного участка определены на основании материалов лесоустройства (плана) лесного участка, являющегося неотъемлемой частью настоящего Договора).
2.4. Арендатору передается лесной участок для использования в целях разработки месторождения полезного ископаемого (эксплуатация объектов, не связанных с созданием лесной инфраструктуры) согласно приложению № 5.
3. Арендная плата
3.1. Размер арендной платы по настоящему Договору определен, исходя из ставок платы за единицу площади лесного участка, находящегося в федеральной собственности, при использовании лесов для выполнения работ по геологическому изучению недр, разработке месторождений полезных ископаемых (таблица 14 постановления Правительства РФ от 22 мая 2007 г. № 310), устанавливаемых в соответствии со статьей 73 Лесного кодекса Российской Федерации и составляет 11037 (Одиннадцать тысяч тридцать семь) рублей 74 копейки в год.
3.2. Арендатор обязан вносить годовую арендную плату в полном объеме в течение двадцати дней со дня государственной регистрации настоящего Договора, а в последующем - в течение пятнадцати дней после окончания календарного года аренды.
3.3. Размер арендной платы подлежит изменению пропорционально изменению ставок платы за единицу площади лесного участка, передаваемого в аренду по настоящему Договору в указанных целях, со дня вступления в силу нормативного правового акта Правительства РФ об изменении уровня ставок платы за использование лесов при выполнения работ по геологическому изучению недр, разработке месторождений полезных ископаемых. Размер арендной платы не может быть ниже установленного пунктом 3.1 настоящего Договора.
3.4. В случае несвоевременного внесения в соответствующий бюджет арендной платы, установленной настоящим договором, Арендатор уплачивает Арендодателю неустойку, в размере определенном п. 6.2.1. настоящего Договора.
3.5. Во всех случаях, когда настоящим договором на Арендатора возлагаются те или иные финансовые обязательства, в т.ч. по своевременному и полному внесению арендной платы, Арендатор обязан подтверждать выполнение этих обязательств путем предоставления Арендодателю, в течение пятнадцати дней с момента возникновения, копий финансовых документов, подтверждающих факт перечисления платежа. Не предоставление своевременно копий финансовых документов признается нарушением со стороны Арендатора условий договора.
4. Права и обязанности Арендодателя
4.1. В отношениях с Арендатором Арендодатель выступает не только как
сторона по договору аренды, но и как специально уполномоченный орган исполнительной власти Сахалинской области, осуществляющий государственное управление и государственный контроль и надзор в сфере использования, охраны, защиты и воспроизводства лесов, охраны и организации использования животного мира, организации и функционирования особо охраняемых природных территорий регионального значения, и в сфере земельных отношений.
4.2. Арендодатель самостоятельно или через подведомственные учреждения (действующие от имени Арендодателя) имеет право:
4.2.1. Осуществлять контроль за соблюдением Арендатором условий настоящего Договора, а также государственный контроль и надзор в соответствии с полномочиями, и компетенцией Департамента за соблюдением Арендатором требований природоохранного законодательства Российской Федерации и Сахалинской области, норм и правил осуществляемого использования лесов.
4.2.2. Получать от Арендатора все необходимые сведения, документы и материалы, касающиеся его хозяйственной деятельности (за исключением сведений, представляющих коммерческую тайну) по использованию арендованного лесного участка.
4.2.3. Предъявлять Арендатору иски на взыскание неустоек:
- за нарушение требований нормативных правовых актов, технических
регламентов, правил, наставлений, инструкций, иных регламентирующих документов при осуществлении разрешенного по настоящему Договору использования лесов в порядке и размере, установленном п. 6.2.2. настоящего Договора.
4.2.4. Предъявлять Арендатору иски на возмещение вреда и ущерба, причиненного окружающей природной среде, животному миру в результате хозяйственной деятельности Арендатора.
4.2.5. Привлекать Арендатора, в установленном законодательством порядке, к тушению лесных пожаров за пределами арендованного лесного участка, с последующей компенсацией понесенных затрат за счет средств субвенций из федерального бюджета, выделяемых на возмещение затрат, связанных с тушением лесных пожаров.
4.2.6. Давать Арендатору обязательные для исполнения предписания, указания, рекомендации в пределах своих полномочий и компетенции по вопросам осуществления лесопользования, определенного настоящим Договором.
4.2.7. Вносить предложения по пересмотру условий настоящего Договора в порядке и случаях, предусмотренных действующим законодательством Российской Федерации и настоящим Договором.
4.2.8. Изымать, в порядке и в случаях, предусмотренных лесным и земельным законодательствами Российской Федерации, отдельные площади из переданного в аренду по настоящему Договору лесного участка для государственных и муниципальных нужд.
Translation - English Forest Lot Lease Agreement No. 73

1. Parties
This forest lot lease agreement (hereinafter referred to as the Agreement) is made and entered into by and between:
The Sakhalin Territory Department of Forestry and Specially Protected Natural Areas (hereinafter referred to as the Department), represented by the Department vice director Boris Dmitryevich Permyakov, acting by Department order dated April 29, 2008, “Delegation of Authority to the Department Vice Director,” and Statutes regarding the Sakhalin territory Department of Forestry and Specially Protected Natural Areas enacted by decree No. 105-pa of the Oblast’ Administration on April 22, 2008 (hereinafter referred to as the Lessor), on the one part,
and
(omitted for client privacy*), hereinafter referred to as the Lessee.
2. Scope of Agreement
2.1. Pursuant and subject to the terms set forth herein, and in compliance with sections 43 and 74 of the Russian Federation Forestry Code, Paragraph 12 “Leasing Procedures for Publicly- or State-Owned Forest Lots” (approved by Resolution No. 324 of the Russian Federation Government on 05.28.2007), Paragraph 2 “Procedures for Use of Forest for Exploration and Mining” (approved by Order No. 109 of the Russian Ministry of Natural Resources on 04.24.2007), Agreement No. OX-054 dated as of 05.15.2006, and subject to CJSC Elvary Neftegaz Notice No. 67-03/220, dd. 06.05.2008, and Order No. 438 of the Department dated as of 09.01.2008, the Lessor shall provide to the Lessee, and the Lessee shall make payment to the Lessor for use of (leasing), the state-owned forest lot described in paragraph 2.2 hereunder (hereinafter referred to simply as forest lot).
2.2. Details on the 3.6 hectare forest lot offered for lease hereunder are as follows:
Location: Sakhalin Oblast, the urban municipal district of Okha, Okha Forest Division of Sakhalin State Forests, quadrant 26 (plot 25) of the Nekrasovskiy forest section. Cadastral number (public account number in the forestry register): 8ЛХ(15)-2008-09.
2.3. A layout of the forest lot and its features are provided in Attachments No.1 and 2 (the borders of the forest lot are based on forest management materials (plans), attached hereto and made a part hereof).
2.4. The forest lot shall be assigned to the Lessee for mining activities (operation of facilities not connected with forest infrastructure) in accordance with Attachment No. 5.
3. Rent
3.1. The amount of rent to be paid under this Agreement is calculated on the basis of per square unit rental rates for state-owned forest land used for mining and exploration (Table 14 of RF Government Resolution No. 310, dd. May 22, 2007) per Section 73 of the Russian Federation Forestry Code, and shall equal 11,037 (eleven thousand seventy three) rubles and 74 kopecks per year.
3.2. The lessee shall make full payment of the annual rent within twenty days of state registration of this Agreement, and subsequently, within fifteen days of the end of the lease calendar year.
3.3. The rent amount is subject to change in proportion to changes in the per square unit rental rates for the forest lot assigned hereunder for the specified activities, effective as of the time of passage of any legal regulation impacting rental rates for forest land for exploration and mining. The rent amount may not be less than the amount given in paragraph 3.1 herein.
3.4. In the event of untimely deposit of rent to the account described herein, the Lessee shall pay the Lessor the penalty amount set under paragraph 6.2.1.
3.5. In any case where the Lessee bears a financial obligation under the terms of this Agreement, including for full and timely payment of rent, the Lessee shall confirm performance of such obligation by providing the Lessor with documentation of fund transfer within fifteen days of the due date. Failure to provide such documentation shall place the Lessee in default of this Agreement.
4. Lessor’s Rights and Obligations
4.1. In relation to the Lessee, the Lessor shall not only be a party to the lease agreement, but shall also act in the capacity of an authorized executive agency of Sakhalin oblast, and shall provide public administration, management, and supervision in the areas of use, preservation, protection, and rehabilitation of forests, wild life conservation and management, management and operation of regional specially protected natural areas, and land relations.
4.2. The Lessor shall, by itself or through a subsidiary institution acting on its behalf, be entitled to:
4.2.1. Monitor Lessee’s compliance with the terms and conditions set out hereunder and perform public management and supervision, according to the Department’s scope and authority, of the Lessee’s compliance with Russian Federation and Sakhalin environmental protection laws, standards, and practices for use of forest lands.
4.2.2. Obtain from the Lessee all required information, documents, and materials regarding its activities (excluding trade secrets) related to use of the leased forest lot.
4.2.3. Bring a suit against the Lessee for recovery of damages:
- for violation of legal regulations or technical specifications, rules, instructions, or other regulatory documentation related to the use of forests under this Contract, according to the procedure and amount set forth in paragraph 6.2.2. herein.
4.2.4. Bring a suit against the Lessee for compensation of harm or loss inflicted on the environment or wildlife as a result of the Lessee’s business activities.
4.2.5. Press the Lessee in the legally prescribed manner to extinguish forest fires outside of the leased forest lot, compensating any expenses incurred with government funds assigned for compensation of expenses related to extinguishing forest fires.
4.2.6. Provide the Lessee with compulsory orders, instructions, and recommendations within its scope and authority on issues of use of forest land under this Agreement.
4.2.7. Propose revision to Agreement terms in the manner and under the conditions prescribed by current Russian Federation law and the Agreement.
4.2.8. Appropriate, in the manner and under the conditions prescribed by Russian Federation forest and land laws, a certain acreage of the forest lot leased hereunder for state and public needs (exercise imminent domain).
