أولاً : شركة ترافكو للعقارات احدي شركات مجموعة ترافكو ( شركة مساهمة مصرية ) سجل تجاري رقم 38402 شركات إستثمار – ومقرها– مدينة الشيخ زايد – محافظة الجيزة .
ويمثلها في التوقيع على هذا العقد السيد الأستاذ / - بصفته :

بعد أن أقر الطرفان بأهليتهما القانونية للتصرف والتعاقد وخلو إرادتيهما من أية قيود تحد من التصرف فقد إتفقا على ما يلي:-

حيث إن الطرف الأول والشركات التابعة له يقوم بتطوير مشروعات عقارية متميزة على الأراضي المملوكة ،وله وحده حق إبرام جميع التصرفات الخاصة بأي من وحدات هذه المشروعات بالبيع من غير منازعة من أي طرف من الغير ،وحيث إن الطرف الأول يرغب في بيع وحدات هذه المشروعات ،وحيث إن الطرف الثاني يعمل في مجال التسويق العقاري وقد ارتضى الطرفان أن تكون أحكام حسن النية والأمانة التجارية مكملة لبنود هذا العقد فقد إتفق الطرفان على قيام الطرف الثاني ولصالح الطرف الأول بتسويق بعض أو كل وحدات هذه المشروعات على أن يكون ذلك طبقاً للشروط التالية:-
(البند الأول)
يعتبر التمهيد السابق جزءًا لا يتجزأ من هذا العقد ومكملاً ومتمماً ومفسراً لأحكامه.
(البند الثاني)
عهد الطرف الأول إلى "الطرف الثانى" القابل لذلك بالقيام بأعمال الوساطة العقارية وتسويق حدات المشروعات التي يقوم بتطويرها الطرف الأول وذلك للعملاء الراغبين في إقتناء هذه الوحدات وفقآ للشروط و الضوابط و الأسعار التي يحددها الطرف الأول ولا يعد هذا التكليف حصرياً للطرف الثاني إذ يحق للطرف الأول تعيين وسطاء عقارين آخرين لتسويق مشاريعه العقارية .
(البند الثالث)
إلتزامات الطرف الثاني
بموجب هذا العقد ونفاذاً للغرض المتفق عليه فإن الطرف الثاني يلتزم بأن يقوم ولصالح الطرف الأول ببذل عناية الشخص المتميز في تسويق وحدات مشروعات الطرف الأول المصرح للطرف الثاني كتابياً من الطرف الأول بتسويقها.
(البند الرابع)
إلتزامات الطرف الأول
بموجب هذا العقد ونفاذاً للغرض المتفق عليه فإن الطرف الأول يلتزم بإخطار الطرف الثاني كتابياً بكافة تفاصيل المشروعات وضوابط وشروط البيع وبأية تغييرات من شأنها التأثير في أسعار بيع الوحدات.

الأتعاب
في مقابل القيام بالأعمال موضوع هذا العقد يستحق الطرف الثاني عمولة تقدر بنسبة % ( بالمائة ) طبقاً لما قام ببيعه من وحدات وهذه النسبة ثابتة لكل مشروعات الطرف الأول على أن يقوم "الطرف الأول" بأداء هذه العمولة عند مطالبة "الطرف الثانى" بها وبحد أقصى ثلاثون يوماً تالية لهذه المطالبة شريطة أن تكون المطالبة أول كل شهر وعن عقود بيع إبتدائية تم توقيعها فعلاً مع العملاء المتعاقدين عن طريق الطرف الثاني، وسدادهم لدفعة التعاقد المنصوص عليها في عقد البيع الإبتدائي ،وإيداع الشيكات البنكية المسطرة بباقي المبالغ المحددة بالعقد لصالح الطرف الأول، وسداد كافة المستحقات المالية الناشئة عن التعاقد حتى تاريخ التوقيع عليه. وتكون العمولة المذكورة شاملة الضريبة العامة على المبيعات وتخضع لقواعد الخصم الضريبي وفقاً لأحكام القانون 91 لسنة 2005.
(البند السادس)
شروط خاصة
6-1 يحظر على "الطرف الثانى" الإدلاء بأية بيانات أو معلومات غير صحيحة أو غير دقيقة.
6-2 لا يحق "للطرف الثانى" التفاوض على البيع مع العملاء دون الحد الأدنى لأسعار البيع المتفق عليها إلا بموافقة مسبقة كتابية من الطرف الأول له بذلك
6-3 يحظر على "الطرف الثانى" إنشاء التزامات علي الطرف الأول قبل العملاء ويقع باطلاً أي تصرف يصدر منه بذلك ويكون غير نافذاً في حق الطرف الأول.
6-4 لا يعتد بآية نماذج لحجز أية وحدات على غير النماذج الصادرة والمعتمدة من الطرف الأول.
6-5 يحظر على "الطرف الثانى" استلام أية نقدية من العملاء أو إصدار أي سندات قبض نيابة عن الطرف الأول.
6-6 يحظر على "الطرف الثانى" توقيع أي مستندات نيابة عن الطرف الأول.
6-7 يلتزم الطرف الثاني أن يراعي في تسويقه الدقة في نقل المعلومات المسندة إليه من الطرف الأول وأن يمثل الشركة تمثيلاً مشرفاً وأن يسمو به لأعلى درجات ممكنة في مجال الإستثمار العقاري ويكون ذلك عن طريق الإلتزام التام والمصداقية في التعامل مع العملاء الراغبين في شراء وحدات عقارية بمشروعات الطرف الأول.
6-8 من المتفق عليه أن الطرف الثاني هو المسئول وحده مسئولية كاملة عن أية أخطاء قد تصدر عن تابعيه وموظفيه أثناء بيعهم للمشروعات وتعاملاتهم مع الغير في خصوص ذلك.
(البند السابع)
مدة التعاقد
اتفق الطرفان على أن تكون مدة هذا العقد ستة أشهر تبدأ من / /2013 وتنتهى فى / /2013 ويجوز للطرف الأول وحده إنهاء العقد قبل انتهاء مدته لأي سبب كان ، دون أن يكون للطرف الثاني حق الإعتراض على ذلك وفي حالة إنهاء العقد قبل انتهاء مدته المذكورة فيكون ذلك فقط بإخطار الطرف الثاني كتابة بخطاب مسجل موصى عليه بعلم الوصول على أن تتم تسوية الحساب بين الطرفين طبقاً لما قام الطرف الثاني ببيعه عن المدة السابقة على إنهاء العقد.
(البند الثامن)
إتفق الطرفان على قيام الطرف الأول بتدريب فريق العمل التابع للطرف الثاني لتسهيل مهمته في تسويق الوحدات والتعرف على مشروعات الطرف الأول كما إتفق الطرفان على حق الطرف الأول في الإعتراض على أيٍ من مندوبي الطرف الثاني التابعين له وإختيار من هو مناسب للقيام بالأعمال محل هذا العقد.
(البند التاسع)
يلتزم الطرف الثاني بعدم التنازل للغير عن حقوقه أو إلتزاماته الموضحة بهذا العقد إلا بعد الحصول على موافقة كتابية صريحة من الطرف الأول بذلك وإلا كان هذا التنازل باطلاً ولا يسري في حق الطرف الأول.
(البند العاشر )
يقر الطرف الثاني بملكية الطرف الأول لكافة البيانات والمعلومات الخاصة بتلك الأعمال محل هذا العقد كما يقر بإلتزامه وطوال مدة التعاقد وما بعدها بعدم إفشاء أية معلومات أو بيانات خاصة بالأعمال محل هذا العقد والمحافظة على سرية كل ما يحصل عليه من بيانات أو معلومات كما يلتزم الطرف الثاني برد أية مستندات أو رسومات أو تصميمات يكون قد تسلمها من الطرف الأول وذلك حال طلبها .
(البند الحادي عشر )
في حالة أي إخلال بكل أو بعض شروط هذا العقد من جانب الطرف الثاني فإنه يترتب على ذلك إعتبار العقد مفسوخاً من تلقاء نفسه دون حاجة إلى تنبيه أو إعذار أو إنذار أو استصدار حكم قضائي.
(البند الثاني عشر)
يقر الطرفان بأن عنوان كل منهما الموضح بصدر هذا العقد هو محله المختار وتعتبر المراسلات والإعلانات المرسلة على العنوان المذكور صحيحة ما لم يخطر الطرف الذي غير عنوانه الطرف الآخر بعنوانه الجديد خلال ثلاثة أيام من تاريخ التغيير بموجب فاكس أو خطاب مسجل موصي عليه بعلم الوصول والا اعتبرت كافة المراسلات عليه منتجة لآثارها 0
(البند الثالث عشر)
في حالة نشوب أي نزاع بسبب أي من بنود هذا العقد سواءً تعلق هذا بتفسيره أو تنفيذه أو إبطاله أو فسخه أو ما إلى ذلك يكون الإختصاص بالفصل فيه منعقداً لمحاكم الجيزة على إختلاف درجاتها وأنواعها كلا حسب الإختصاص.
(البند الرابع عشر)
حرر هذا العقد من نسختين أصليتين بيد كل طرف نسخة للعمل بموجبها ويصبح نافذًا في حق طرفيه بمجرد توقيعهما عليه.

After the two parties acknowledged their legal capacity for disposal and contracting, and their freewill, they agreed to the following:
Preamble
The first party and his subsidiaries develop real estate projects on the owned lands and he solely has the right to make all transactions concerning the units of such projects without any dispute from third parties. Whereas the first party is willing to sell the units of that projects and the second party is working in the area of real estate marketing; therefore the two parties agreed, with good faith and commercial sincerity, that the second party shall, for the benefit of the first party, market some or all the units of such projects in accordance with the following conditions:
The first article
The previous preamble is a supplementary integral part of this contract and interpreting its provisions.
The second article
The first party entrusted the second party with doing the works of real estate brokerage and marketing the projects units that are developed by the first party for the clients willing to own these units according to the conditions, regulations, and prices determined by the first party. Such brokerage is not exclusive for the second party as the first party has the right to designate other brokers to market his real estate projects.
The third article: obligations of the second party
The second party shall, for the benefit of the first party under this contract, exert the due care with a distinct manner to market the first party's units of projects that the first party permitted the second party to market them in a written form.
The fourth article: obligations of the first party
The first party shall, in written, notify the second party with all details of the projects, regulations, sale conditions, and any other alterations that may affect the sale prices of units.
The fifth article: the fees
The second party shall take a commission that is equivalent to % ( percent) according to the quantity of units sold, and this percentage is fixed for all projects of the first party and shall be paid upon the second party's request within no more than thirty days from the date of request provided the request shall be at the first of each month for contracts of sale that are already signed by the clients and the second party, the clients had paid the contracting payment set forth in the contract of sale, the second party had deposited the bank cheuqes of the stipulated payments for the benefit of the first party, and all financial receivables arise from contracting till the date of signature had been fulfilled. The aforesaid commission includes the general tax of sales and is subject to the rules of tax deduction pursuant to the provisions of Code No. 91 for the year 2005.
The sixth article: special conditions
6-1 the second party shall not provide any inaccurate or incorrect details or information.
6-2 the second party shall not hold negotiations with the clients to purchase the units against price that is less than the agreed minimum price except by a prior written consent from the first party.
6-3 the second party shall not hold the first party responsible before the clients, and such conduct shall be void and unenforceable
6-4 any other reservation applications except the ones issued from and approved by the first party shall be null.
6-5 the second party is not allowed to receive any cash from the clients or issue any securities on behalf of the first party.
6-6 the second party shall not sign any documents on behalf of the first party.
6-7 the second party shall transfer the information given to him by the first party concerning the marketing accurately and shall honorably represent the company and promote it to the highest level in the real estate investment area through commitment and sincerity while dealing with clients desiring to purchase the units of the first party's projects.
6-8 it has been agreed that the second party is fully in charge of any faults or misconducts made by his representatives or employees during selling the units and dealing with third parties concerning the same.
The seventh article: term of contract
The two parties agreed that the term of contract shall be six months starts on / /201 and ends on / /201 . The first party has the right solely to terminate the contract before its term whatever the reason is without any objection from the second party by notifying him via delivery registered letter, and the accounts between both parties shall be settled down according to the units sold before termination.
The eighth article
The two parties agreed that the first party shall train the teamwork of the second party to facilitate his mission of marketing units and to know the projects of the first party. The first party has the right to refuse any of the second party's representatives and to select who are appropriate to do the works the subject of this contract.
The ninth article
The second party is obliged not to waive his rights or obligations stated in this contract to third parties without obtaining an explicit written consent from the first party, or that waiver shall considered void and unenforceable.
The tenth article
The second party acknowledges that the first party owns all details and information concerning the works stated in the contracts, his commitment, within the term of this contract and after, of non-disclosure of any details or information related to the works of this contract and the confidentiality of the details and information he obtains, and that he shall, upon request, submit any documents, drawings, or designs he received from the first party.
The eleventh article
In case the second party breached any or all the conditions of this contract, the contract shall be terminated automatically without any need for notifications, warning, or adjudication.
The twelfth article
The two parties acknowledge that the addresses stated in the outset of this contract are their principle offices, and all correspondences and notices sent to them shall be considered true unless one of them notifies the other of changing the address within three days of changing date via facsimile or a delivery registered letter or the delinquent party shall bear the liabilities.
The thirteenth article
Should any dispute arise due to the interpretation, implementation, termination, or revocation of one of the articles of this contract, the courts of Giza shall settle it down.
The fourteenth article
Executed in two identical counterparts, each page is signed; one per each party for necessary action and each counterpart has the same effectiveness.

Firstly: Ra's Howala for Hotels and Tourist Development Company S.A.E. for the purpose of signing this contract it is represented by Mr. Amr Abdu Al-Sabour Qabeel in his capacity as the chairman of the board of directors, commercial register No. 9498, Alexandria, located in the extension of 26th July Corridor, TRAVCO Center building, Al Sheikh Zayed, 6th October city, Giza governorate.

Secondly: TRAVCO Company for Real Estate S.A.E. for the purpose of signing this contract it is represented by Mr. Kareem Hamed Ash-eeti in his capacity as the chairman of the board of directors, commercial register No. 38402 for investment, located in 26th July Corridor, TRAVCO Center building, Al Sheikh Zayed, 6th October city, Giza governorate.
(Second Party – Developer)
The preamble
1- Under two resolutions of appropriation through sale No. 113 for the year 2005 and No. 98 for the year 2007 issued by the General Authority for Tourism Development, the first party owns desert plot in Ra's Howala area at the north west coast 40 kilos south far from Marsa Matrouh City for establishing integral tourist development project, where as he commenced to establish many tourist hotels and the necessary infrastructure, furthermore he allocated about 350000m2 (three hundred and fifty thousand square meters) to establish a tourism housing project whose first phase included a range of villas and chalets.
2- Whereas the first party's experience is limited to establishing and marketing tourism hotel projects but does not include the expertise and awareness necessary for practicing the tourist housing activity and meeting the real estate market requirements; therefore the potential success did not ally his tourist housing project, in addition to his desire to be dedicated to practice his basic activity which is tourist hotels management.
3- Whereas the second party practices the real estate development activity, owns enough expertise to be qualified to determine the needs of the real estate market, and is desiring to develop the coastal area and marketing its real estate products being ready to bear all expenses and responsibility of establishing, constructing, advertising, promoting, and marketing he offered to provide his services to the first party to develop the tourist housing project in Ra's Howala area, it is hereby agreed between the two parties to establish a tourist housing project under this contract which states the obligations and rights of both parties in conformity with the enforceable laws and provisions.
In accordance with the aforesaid it was agreed upon the following:
The first article: the preamble is binding
The previous preamble and attachments of this contract are an integral supplementary part of this contract.
The second article: the subject of contract
The first party entrusted the second party with implementing the development works of the tourist housing project the subject of this contract, provided that the second party shall solely bear the expenses and responsibilities of establishing the integral project from preparation of primary designs till the full-completion and delivery to the purchasers in addition to the responsibility of project management during and after completion.
The third article: obligations of the first party
3-1 the first party is obliged to deliver the second party the full plot area allocated for the tourist housing project without any hindrances or obstacles that obstruct the implementation of project.
3-2 the first party shall obtain an approval from General Authority for Tourism Development on the housing units' drawings.
3-3 the first party shall provide all facilities needed for working at his own expense.
The fourth article: obligations of the second party
4-1 the second party shall bear all expenses and responsibilities of constructing all housing units of the tourist project the subject of the contract.
4-2 the second party shall contract with one of competent companies, that the first party accepts, to establish, implement, and follow up the works of construction in all phases till the end, provided the second party shall be obliged solely to fulfill all due payments of the company, contractors, suppliers, etc. without any claim from the first party.
4-3 the second party shall accurately implement the construction according to the drawings approved by the General Authority for Tourism Development and shall bear all consequences of any breach. In case he desires to alter any drawings, he shall notify the first party first to obtain approval from the General Authority for Tourism Development for such alterations at the second party's own expense.
4-4 the second party shall install facilities networks inside the land of project and connecting them to the housing units at his own expense.
4-5 the second party shall prepare and carry out the marketing and advertising campaigns of the project at his own expense.
4-6 the second party shall sign the contracts of sale of the sold housing units in his capacity as the owner of the buildings and the agent of the first party who owns the land.
4-7 the second party shall collect the down payments and installments cheques and deliver them to the first party on their due dates.
4-8 the second party shall provide the first party with a quarter report defining the units sold, the value of each unit, the down payments, and the due dates of the remaining payments.
The fifth article: the parties' financial rights
5-1 the first party's share to the tourist housing project the subject of this contract is 15% (fifteen percent) of the total revenues.
5-2 the second party's share to the tourist housing project the subject of this contract is 85% (fifteen percent) of the total revenues.
5-3 the second party shall pay the due payments to the second party on the end of December annually.
The sixth article: taking out loans from the banks
The second party has no right to take out loans from banks or any third parties, or deposit any buildings or establishments under mortgage except after obtaining a written consent from the first party.
The seventh article: dealing with administrative or governmental authorities
The second party is not allowed to deal with any administrative or governmental authorities or the General Authority for Tourism Development concerning the tourist housing project the subject of this contract except through the first party.
The eighth article: partnership
The rights of second party is limited to the tourist housing project the subject of this contract and there is a milestones map attached for clarifying signed by the both parties, and the second party has no right to claim partnership or possession of the remaining plots owned by the first party, the lands of the existing tourist projects, or the projects to be established further.
The ninth article: the term of contract
The term of this contract is five calendar years starts from the date of signature. The second party is obliged to implement all phases of the project within four calendar years start from the date of signature. The term of this contract is renewable for one calendar year for each term upon by a mutual agreement between both parties till all units are sold, the value receipt, and all payments are paid to the first party.
The tenth article: waiver
Within the term of this contract the second party has the right to approve the process of waiver for housing units' purchasers, collecting the waiver value, and distributing it to the two parties each according to his share.
The eleventh article: the jurisdiction
The court of Giza shall settle down any dispute arises due to application or interpretation of this contract.
The twelfth article: the chosen location
The addresses stated in the outset of this contract are the chosen locations of the parties to which the correspondences shall be sent. In case the address is changed, the other party shall be notified by a delivery registered later stating the new location or the delinquent party shall bear the liabilities.
The thirteenth article: counterparts
Executed in two identical counterparts, each page is signed; one per each party for necessary action and each counterpart has the same effectiveness.

تمهيد
1- بموجب قرارى تخصيص عن طريق البيع رقمى 113 لسنه 2005 ، 98 لسنه 2007 صادران من الهيئة العامه للتنميه السياحيه ، يمتلك الطرف الاول مساحه من الاراضى الصحراوى بمنطقة رأس حواله بالساحل الشمالى الغربى 40 كيلو جنوب مدينة مرسى مطروح لاقامة مشروع تنميه سياحيه متكامله ، حيث شرع فى اقامة العديد من الفنادق السياحيه والبنى التحتيه اللازمه ، كما قام بتخصيص مساحه من الارض فى حدود 000 350 م2 (ثلاثمائه وخمسون الف متر مربع) لاقامة مشروع اسكان سياحى ، ضمت مرحلته الاولى مجموعه من الفيلات والشاليهات .
2- ولما كانت خبرة الطرف الاول تقتصر فى اقامة وتسويق المشروعات الفندقيه السياحيه ، ولا يملك الخبرة والدرايه اللازمان لممارسه نشاط الاسكان السياحى ، وتلبية احتياجات السوق العقارى فلم يصادفه النجاح المرجو فى مشروعه الخاص بالاسكان السياحى، فضلاً عن رغبته فى التفرغ لممارسه نشاطه الاساسى وهو اقامة ادارة الفنادق السياحيه .
3- ولما كان الطرف الثانى يمارس نشاط التطوير العقارى ، ويملك من الخبرات المؤهلات ما يؤهله لتحديد احتياجات السوق العقارى ، ورغب فى تطوير مناطق ساحليه وتسويق منتاجتها العقاريه مع استعداده بتحمل كافة تكاليف واعباء الاقامة والتشييد والدعايه والاعلان والتسويق فقد تقدم للطرف الاول برغبته تلك لتطوير مشروع الاسكان السياحى بمنطقة رأس حواله وتوافق ذلك مع رغبة الطرف الاول ، فقد توافقت ارادة الطرفان على المشاركه فى اقامة مشروع الاسكان السياحى وافرغا رغبتهما فى هذا العقد الذى يحدد حقوق والتزامات كل منهما قبل الاخر وذلك كله وفقاً لاحكام القوانين النافذه واحكام هذا العقد .
وعلى هدى ما تقدم فقد تم الاتفاق على الاتى
ماده (1) ملزوميه التمهيد
يعتبر التمهيد السابق ومرفقات هذا العقد جزءاً لايتجزأ منه ومكملاً ومتمماً له .
ماده (2) موضوع العقد
اسند الطرف الاول للطرف الثانى – القابل لذلك – اعمال تطوير مشروع الاسكان السياحى الموضح بتمهيد هذا العقد ، على ان يتحمل الطرف الثانى منفرداً كافه اعباء وتكاليف اقامه كامل المشروع بدءاً من اعمال اعداد الرسومات الاوليه وحتى تمام التنفيذ والتسليم للمشترين فضلاً عن مسئوليات ادارة المشروع سواء اثناء او بعد التنفيذ .
ماده (3) التزامات الطرف الاول
3-1 يلتزم الطرف الاول بتسليم الطرف الثانى كامل مساحه الارض المخصصه لمشروع الاسكان السياحى خاليه من الشواغل او المعوقات المانعه من تنفيذ المشروع .
3-2 يلتزم الطرف الاول باعتماد رسومات الوحدات السكنيه من الهيئة العامه للتنميه السياحيه تحت اى مسمى تكون لازمه لاعتماد تلك الرسومات .
3-3 يلتزم الطرف الاول بتفير كافة المرافق لبداية الارض على نفقته الخاصه .
ماده (4) التزامات الطرف الثانى
4-1 يلتزم الطرف الثانى بتوفير كافة اعباء وتكاليف انشاء وتشييد كافة وحدات مشروع الاسكان السياحى موضوع هذا العقد .
4-2 يلتزم الطرف الثانى بالتعاقد مع احدى الشركات المتخصصه والتى يوافق عليها الطرف الاول لاقامه وتنفيذ ومتابعه اعمال البناء والتشييد بجميع مراحله وحتى تمام التنفيذ وعلى ان يلتزم الطرف الثانى منفرداً بسداد كافة مستحقاتها ومستحقات كافة المقاولين والموردين وخلافه دون ادنى مطالبة من الطرف الاول .
4-3 يلتزم الطرف الثانى بالالتزام الدقيق بالتنفيذ وفق الرسومات المعتمده من الهيئة العامه للتنميه السياحيه والالتزام بتحمل تبعات تلك المخالفات ، وفى حاله رغبته فى اجراء اى تعديلات على الرسومات يلزم اخطار الطرف الاول للحصول على اعتماد من الهيئة العامه للتنميه السياحيه على تلك التعديلات وذلك كله على نفقته الخاصه .
4-4 يلتزم الطرف الثانى بمد شبكات المرافق داخل ارض المشروع وتوصيلها بالوحدات السكنيه بها على نفقته الخاصه .
4-5 يلتزم الطرف الثانى باعداد وتنفيذ الحملات الدعائيه والتسويقيه للمشروع على نفقته الخاصه.
4-6 يلتزم الطرف الثانى بالتوقيع على عقود بيع الوحدات السكنيه المبيعه بصفته مالكاً للمبانى ووكيلاً عن الطرف الاول مالك الارض .
4-7 يلتزم الطرف الثانى بتحصيل قيمة الدفعات المقدمه وشيكات الاقساط فى مواعيدها وتوريد مستحقات الطرف الاول فى المواعيد المتفق عليها .
4-8 يلتزم الطرف الثانى بموافاه الطرف الاول بتقرير ربع سنوى يحدد به الوحدات المبيعه وقيمة كل وحده والدفعه المقدمه وتواريخ استحقاق باقى الدفعات .
ماده (5) الحقوق الماليه للطرفان
5-1 يستحق الطرف الاول مقابل حصته فى مشروع الاسكان السياحى موضوع هذا العقد نسبة قدرها 15% (خمسه عشرة بالمائه) من اجمالى الايرادات .
5-2 يستحق الطرف الثانى مقابل حصته فى مشروع الاسكان السياحى موضوع هذا العقد نسبة قدرها 85% (خمسه وثمانون بالمائه) من اجمالى الايرادات .
5-3 يلتزم الطرف الثانى بسداد مستحققات الطرف الاول الماليه فى نهاية ديسمبر من كل عام .
ماده (6) الاقتراض من البنوك
لا يجوز للطرف الثانى الاقتراض من البنوك او الغير او ترتيب اى رهون على المبانى والمنشأت الا بعد الحصول على موافقه كتابيه من الطرف الاول .
ماده (7) التعامل مع الجهات والهيئات الحكوميه والاداريه
لا يجوز للطرف الثانى التعامل مع اى جهات او هيئات حكوميه او ادرايه او الهية العامه للتنميه السياحبه فيما يخص مشروع الاسكان السياحى موضوع هذا العقد الا من خلال الطرف الاول .
ماده (8) المشاركه
تقتصر حقوق الطرف الثانى على مشروع الاسكان السياحى موضوع هذا العقد والمرفق خريطه توضح حدوده والموقع عليها من الطرفين ، ولا يملك الطرف الثانى الادعاء باى مشاركه او ملكية له فى باقى الاراضى المخصصه للطرف الاول او المشروعات السياحيه المقامه حاليا والتى تنشأ مستقبلاً .
ماده (9) مدة العقد
مدة هذا العقد خمس سنوات ميلاديه تبدأ اعتباراً من تاريخ التوقيع عليه ، ويلتزم الطرف الثانى بتنفيذ كافة مراحل المشروع خلال اربع سنوات ميلاديه من تاريخ التوقيع ، ويجوز مد مدة هذا العقد لمدة سنه ميلاديه تجدد لمدد مماثله بموافقه الطرفان لحين تمام بيع جميع الوحدات المقامه واستلام قيمتها والوفاء بحقوق الطرف الاول .
ماده (10) التنازلات
طوال مدة هذا العقد يكون للطرف الثانى الحق فى الموافقه على عمليات تنازل مشترى الوحدات السكنيه وتحصيل مقابل التنازل وتوزيعه على الطرفين كلا بنسبة حصته .
ماده (11) الاختصاص القضائى
تختص محاكم الجيزة بمختلف درجاتها فى الفصل فى اى نزاع ينشأ من جراء تطبيق او تفسير هذا العقد .
ماده (12) المحل المختار
تعتبر العناوين الموضحه بصدد هذا العقد هى المحل المختار لكل منهما ، والتى يتم التراسل عليها وفى حالة تغيير احدهما لعنوانه يلتزم باخطار الطرف الاخر بخطاب مسجل بعلم الوصول بمحله الجديد والا اعتبرت كافة المراسلات منتجه لاثارها القانونيه .
ماده (13) نسخ العقد
تحرر هذا العقد من نسختين بيد كل طرف نسخه للعمل بموجبها بعد ان توقع منهما على جميع صفحات النسختين ولكل منهما ذات القوة والاثر .

I discovered my passion for translation and poetry in high school, since then I began to pursue my passion. Now I am a freelance translator who entered the sphere of translation 8 years ago realizing that it is a long journey of constant learning and discovering depths of innovation and creativity; doing so, I have been dealing with a broad number of translation offices and companies, law firms, religious organizations, and tourism companies. I wrote more than 50 poems and translated a large number of books in 6 years amounting to 20 books, the majority of them is religious, while the others are psychological and scientific; and more than 2 thousand legal documents including summons, litigation, constitutions, contracts, etc. since 2006 till now, in addition to proofreading more than 70 books in Arabic published worldwide. In 2012 I got my accreditation and seals from the Egyptian Translators' Association, and in 2013 I passed the test of legal English skills (TOLES) with good grade, by doing so I enhanced my credentials in legal translation field.
I had experience in interpreting too as I took part in one-on-one sessions, interpretations before courts and notary public, lectures, meetings, and the most remarkable event I took part in was a ten-lecture conference in Kingdom of Saudi Arabia addressing establishing the scientific centers in the Kingdom, in addition to subtitling, editing, etc.
